End User License Agreement

This End User License Agreement ("Agreement") is between David Peattie trading as Fernlight ("Fernlight", "we") and the organisation that installs or uses a Fernlight app ("Customer", "you"). It applies to API Docs for Confluence and any other app we publish on the Atlassian Marketplace (each an "App"). By installing or using an App, you agree to this Agreement. If you do not agree, do not install or use the App.

1. License

Subject to this Agreement and to paying the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable license to use the App on the Atlassian Cloud sites for which you hold a valid license, for your internal business purposes, during the license term and for the number of users you have licensed.

2. Purchasing through Atlassian

Apps are sold through the Atlassian Marketplace. Pricing, trials, billing, renewals, refunds and taxes are governed by the Atlassian Marketplace Terms of Use and handled by Atlassian. If a license expires or is cancelled, the App stops rendering content. Your data remains in Confluence.

3. Restrictions

You must not: (a) copy, modify, reverse engineer or create derivative works of the App, except to the extent applicable law expressly permits despite this restriction; (b) resell, rent or provide the App to third parties as a service; (c) circumvent licensing controls; or (d) use the App in breach of law or of Atlassian's terms.

4. Your data

You keep all rights to your content. The App processes your content only inside Atlassian's infrastructure, and only to provide its functionality, as described in our Privacy Policy. You are responsible for the content you store and for making sure you have the right to use it.

5. Intellectual property

We and our licensors own the App and all intellectual property rights in it. We may use feedback you give us without obligation to you.

6. Support and updates

We provide support as described on our Support page. We may update the App from time to time. Updates are delivered automatically through Atlassian Forge.

7. Third-party components

The App includes open-source components licensed under their own terms (such as MIT and Apache-2.0). Those terms apply to those components.

8. Warranty disclaimer

We will make reasonable efforts to have the App perform substantially as described in its documentation. Apart from that, and to the maximum extent permitted by law, the App is provided "as is", and we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Breaking-change reports are an aid to review, not a guarantee that every incompatible change will be detected.

9. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and (b) our total liability arising out of or relating to this Agreement is limited to the amounts you paid for the App in the 12 months before the event giving rise to the claim. Nothing in this Agreement limits liability that cannot be limited by law, including rights under consumer protection laws that cannot be excluded.

10. Termination

This Agreement lasts until your license ends. We may suspend or terminate it if you materially breach it and do not fix the breach within 30 days of notice. Sections 3, 5, 8, 9 and 11 survive termination.

11. General

This Agreement is governed by the laws of New Zealand, and the courts of New Zealand have non-exclusive jurisdiction. If any provision is unenforceable, the remainder stays in effect. We may update this Agreement by posting a new version here. The updated terms apply from your next renewal. This Agreement, together with the Atlassian Marketplace Terms of Use, is the entire agreement about the App.
